Established Business

Established Business

An established business has many needs, depending upon the sector in which it operates. Some of the more common needs of the established business are set out below.

Shares in the business “cake”

Who owns the business and in what proportions? Is each owner be involved in running the business? Is each owner equal? Do you have a Shareholders Agreement in place? If so, is the Agreement up to date? We can audit your existing document for free. Our expert Commercial Solicitors are happy to help you update or replace your existing Shareholders Agreement if needed.

Customer or Supplier terms (T&C's)

Do you want to trade on your terms or are you happy to be bound by someone else’s terms, or worse, no terms at all? Terms and Condition's (T&C's) can protect your business, strengthen your position, save you money and add value. A good set of Terms & Condition's gives both you and your customers (or suppliers) clarity and can help avoid awkward situations from cropping up.

Checking the existing business documents

When is the last time you had your business documents updated? Are they still relevant? The law changes on a regular basis and it is important to ensure that any documents you rely on are up to date and don’t leave you open to claims against you/the business.

  • T&C’s,
  • Franchise Agreements,
  • Supplier Agreements,
  • Service level contracts,
  • and many many more.

Our Commercial team can work with you to audit, consider and if needed change or replace business documents.

Employees

Dealing with employees can be time consuming and sometimes things don’t go to plan. Employees are the oil in the business machine so make sure you select the right staff, keep the good staff and deal with those that are not a right fit for you and your business. Help with recruitment, Employment contracts, staff handbooks and HR are just a few of the things our employment team will be happy to help you with.

Disputes - Internal or external

The easiest way to deal with a dispute is to sort it out before it becomes a dispute. The longer a dispute goes on, the more personal, stressfull, distracting and expensive it can become. Our Disputes and Litigation team can chat through the problems with you and explore ways to resolve the dispute. If it can’t be resolved then it’s good to have a strong, experienced team on your side.

Re-branding and marketing

Is your brand protected? Do you need a brand refresh? If you would like help creating or changing the brand, logo and plan then we have an extensive network of contacts that we can put you in touch with. If you wish to protect your valuable brand then our Intellectual Property Team can help you.

Business advice and development

How can you grow your business? Is there room for modernisation? Can efficiencies be made? We have a team of lawyers and business people who can provide business advice. This advice can be provided as “one to one” sessions or as part of our peer group, JL Business Improvement. We are focused on doing what’s right for you to get the business outcomes you are aiming for. Let’s work together to get you where you and your business want to be.

Finance / Loans / Funding

Raising money for business can sometimes be tricky. Do you need some financial support to move the business forward? If so, what is the best way for this to be delivered? Our Commercial and business team have a wealth of experience, together with a network of contacts that can put you in contact with various banks, lenders, loan funding, grant funding and private equity.

Succession planning and share transfers

What is your exit strategy? Do you have one? Do you even need one? Do you have staff you want to sell the business to or do you want to keep it in the family? Can you start transferring some of your shares now to minimise future tax liability? In an established business it’s sensible to have an eye on the future, and you may well have plans but do the legal documents (such as Shareholders Agreements etc) match with those plans or might they hinder you? Our Commercial team are happy to talk through the options and help you put the mechanics in place.

IT systems and support

Most businesses rely on IT and a good setup/managed services provider can mean the difference between success and failure. As part of a holistic approach we can help you in this area working with a network of contacts and partners who can deliver the right system and support for you.
